1.Purpose
These terms define the conditions under which EURL SAAS TECHNOLOGIES (“SaaS Technologies”) makes the Moultaka platform available, and the rights and obligations of the people who use it.
2.Definitions
- Platform: the Moultaka software provided as a service, including the workspace my.moultaka.app, the public event pages, the kiosks, the participant apps and the AI assistant.
- Customer or Organizer: the legal entity that has entered into a contract with SaaS Technologies to use the Platform for its events.
- User: any person given access to the workspace by the Customer, such as an employee or a service provider.
- Participant: any exhibitor, visitor, speaker, journalist, sponsor, partner or other person taking part in an event and using the public pages, the forms or the apps.
- Customer Data: the information, content and personal data entered into the Platform by the Customer, its Users and its Participants.
- Contract: the commercial proposal accepted or the agreement signed between SaaS Technologies and the Customer, with its appendices.
3.Acceptance and order of precedence
These terms apply to every use of the Platform. For a Customer, the contractual documents apply in the following order of precedence: the Contract, then these terms, then the privacy policy and the cookie policy. The Customer’s own general terms of purchase do not apply unless SaaS Technologies has accepted them in writing.
4.Access and accounts
The workspace is reserved for professionals of full legal age acting for the Customer. The Customer creates the accounts of its Users, assigns their roles and is responsible for the actions carried out under their accounts. Each User undertakes to provide accurate information, to keep their credentials confidential, not to share their account and to report at once any suspected unauthorized use to hello@moultaka.app.
Participants access the public pages without an account, and the apps or certain forms with an account or a personal link sent by the Organizer.
5.Services
The Platform offers in particular stand sales and the floor plan, sponsorship and advertising, exhibitor management, the event website, campaigns and content, press relations, registration, badges, kiosks and access control, the participant app, B2B meetings, conferences and engagement, analytics, budget and the AI assistant. The products made available to a Customer are those listed in its Contract.
SaaS Technologies continuously improves the Platform. It may change its features provided this does not substantially reduce the services the Customer has subscribed to.
6.AI assistant
The assistant answers questions from the data the User is allowed to read. It can neither modify nor delete data. Its answers are generated automatically and may contain errors: they are an aid to decision, and the User remains responsible for checking them before acting on them. Its use is counted in credits; the allowance included and the price of additional packs are set in the Contract or shown in the workspace. Data processing by the assistant is described in the privacy policy.
7.Availability, maintenance and support
SaaS Technologies makes reasonable efforts to keep the Platform available at all times, in particular during the Customer’s event days. Access may be interrupted for maintenance, announced in advance whenever possible and scheduled outside event days, or for reasons beyond its control. Any availability commitment, support hours or on-site assistance is set in the Contract. Support is provided at hello@moultaka.app.
8.Fees and payment
The price, the invoicing terms and the payment deadlines are set in the Contract. Unless otherwise agreed, invoices are payable within thirty days, by bank transfer, including from abroad. In the event of late payment, SaaS Technologies may, after a formal notice that has remained without effect for fifteen days, suspend access to the Platform until payment in full.
9.Online payments by participants
When an Organizer sells registrations, sessions or services to its Participants, the online payment is processed by SATIM (CIB and Edahabia cards). The payment is collected on SaaS Technologies’ payment terminal: SaaS Technologies receives the amounts on behalf of the Organizer and pays them back to it as agreed in the Contract. Card data are entered on SATIM’s secure page and are neither collected nor stored by SaaS Technologies. The Organizer remains solely responsible for its prices, its conditions of sale, cancellations and refunds towards its Participants.
10.Obligations of the Customer
As controller of the data of its events, the Customer undertakes in particular to:
- have a lawful basis for collecting and using its Participants’ data, inform them and, where required, obtain their consent, in particular for sensitive data and for sharing their contact details with exhibitors and sponsors;
- carry out the formalities that apply to it with the ANPDP and, where applicable, the foreign authorities;
- publish lawful content and hold the rights to the logos, images, texts and documents it uploads;
- comply with the law on commercial communications when it sends campaigns, and respect unsubscriptions;
- ensure that its Users comply with these terms.
11.Acceptable use
It is forbidden to:
- use the Platform for an unlawful purpose or to publish content that is illegal, defamatory, discriminatory or that infringes the rights of others;
- send unsolicited messages to people who have not agreed to receive them;
- attempt to access data or accounts without authorization, bypass security measures, or test the Platform’s vulnerability or load without prior written agreement;
- extract data massively by automated means, copy, decompile or reverse-engineer the software, or build a competing service from it;
- introduce viruses or any code liable to harm the Platform or its users.
12.Customer Data
The Customer remains the owner of the Customer Data. It grants SaaS Technologies, for the duration of the Contract, the right to host, reproduce and process them solely to provide the Platform, to secure it and to fulfil its legal obligations. SaaS Technologies may produce aggregated statistics that do not identify any Customer or person, in particular to measure the overall use of the Platform.
13.Intellectual property
The Platform, its software, its databases, its interfaces, the Moultaka brand and logo, and all their improvements are and remain the exclusive property of SaaS Technologies. The Customer receives, for the duration of the Contract, a personal, non-exclusive, non-transferable right to use the Platform for its own events, within the limits of the Contract. No other right is granted. Suggestions made by the Customer to improve the Platform may be used freely by SaaS Technologies.
14.Personal data
For the data of its events, the Customer is the controller and SaaS Technologies its processor within the meaning of Law No. 18-07. SaaS Technologies undertakes to:
- process them only on the Customer’s documented instructions and for the sole purpose of providing the Platform;
- ensure that the people authorized to process them are bound by confidentiality;
- implement the security measures described in the privacy policy;
- use only the sub-processors listed in the privacy policy, inform the Customer of any change and impose on them equivalent obligations;
- assist the Customer in answering the requests of the persons concerned and in its obligations of security, breach notification and impact assessment;
- notify the Customer of any personal data breach without undue delay;
- at the end of the Contract, make the data available for export, then delete them, subject to legal retention obligations;
- make available to the Customer the information needed to demonstrate compliance with these obligations.
15.Confidentiality
Each party keeps confidential the non-public information of the other party that it receives in the course of the Contract, uses it only to perform the Contract and discloses it only to those of its staff and advisers who need to know it. This obligation lasts for the term of the Contract and five years after it ends.
16.Liability
SaaS Technologies is bound by an obligation of means. It is not liable for indirect damage such as loss of revenue, of customers or of image, nor for damage resulting from the content published by the Customer, from a misuse of the Platform, from the services of third parties chosen by the Customer, or from a decision taken on the basis of an answer of the AI assistant without verification. Except in the event of gross negligence or wilful misconduct, the total liability of SaaS Technologies under the Contract is limited to the amounts actually paid by the Customer in the twelve months preceding the event giving rise to the claim.
17.Force majeure
Neither party is liable for a failure caused by an event of force majeure within the meaning of Algerian law, including a general failure of telecommunications or of the electricity network, a natural disaster or a decision of the public authorities. The affected party informs the other without delay; if the event lasts more than thirty days, either party may terminate the Contract without compensation.
18.Term, suspension and termination
The Contract sets its term and renewal. SaaS Technologies may suspend an account immediately in the event of a security incident, a serious breach of these terms or an imminent risk to the Platform or to other users, informing the Customer as soon as possible. Either party may terminate the Contract for a serious breach by the other that has not been remedied within thirty days of a formal notice.
19.Return and deletion of data
At the end of the Contract, whatever the reason, the Customer has thirty days to export its data in the standard formats offered by the Platform. SaaS Technologies may, at the Customer’s request, assist with this export under conditions agreed between the parties. At the end of this period, the Customer Data are deleted from the production systems and then disappear from the backups as they rotate, except for the data SaaS Technologies is legally required to keep.
20.Mobile apps
The participant apps are distributed through the App Store and Google Play, whose own terms also apply. An app published under an Organizer’s brand remains part of the Platform and is governed by these terms; the Organizer is responsible for the content it publishes there.
21.Third-party services
The Platform can connect to services chosen by the Customer, such as email, WhatsApp or SMS providers, CRMs or webhooks. These services are governed by their own terms and are used under the Customer’s responsibility. SaaS Technologies is not liable for their availability or for their processing of data.
22.Changes to these terms
SaaS Technologies may amend these terms. Material changes are notified to Customers at least thirty days before they take effect; a Customer who refuses them may terminate the Contract before that date, without penalty, for the part of the service affected. Continued use of the Platform after that date constitutes acceptance.
23.Governing law and disputes
These terms and the Contract are governed by Algerian law. The parties will seek an amicable solution to any dispute for thirty days from written notification by the first party. Failing that, the dispute will be brought before the competent courts of Algiers, unless the Contract provides otherwise.
24.General provisions
If a clause is held invalid, the other clauses remain in force. A party’s failure to enforce a clause does not amount to a waiver. The Customer may not assign the Contract without the prior written agreement of SaaS Technologies. These terms are available in French, English and Arabic; in the event of a discrepancy, the French version prevails.
